1. The Service

Geni Inventory is a cloud-based inventory management solution that enables businesses to manage:

• Product-based and category-wise inventory
• Stock-in and stock-out (inward/outward) tracking
• Warehouse allocation
• Purchase and supplier records
• Real-time stock analytics
• Alerts for low stock and expiry
• Daily, weekly, and monthly reports
• Role-based access to users

The Services may be accessed via our web at https://inventory.wegeni.com, or via any software, mobile, or API-based extensions we provide.

2. Access and Account

You may access the Geni Inventory by creating a secure account individually or as part of a B2B license. You are solely responsible for safeguarding your credentials and all activity under your login.

Certain features may be available only to paid subscribers. Access to enterprise tools is subject to plan selection and approval by WeGeni.

3. Restrictions on Use

By using Geni Inventory, you agree not to:

• Use the platform for any unlawful or unauthorized purpose
• Resell, sublicense, or white-label the Service without permission
• Modify, reverse engineer, or copy system components
• Attempt unauthorized access to other users' data
• Upload or distribute viruses, ransomware, or other malicious software
• Use the platform to collect or store sensitive data (like card details) without appropriate legal grounds

You are responsible for ensuring that all inputs and data configurations comply with relevant local, state, or national regulations.

4. Data Ownership and Intellectual Property

All rights, title, and interest in the Geni Inventory software, dashboard layouts, source code, visual elements, and API architecture belong solely to WeGeni IT Services and Consulting (OPC) Private Limited.

You retain ownership of all inventory and supplier data that you input into the system, but grant us a license to store, process, and analyze it to deliver the Services.

You may not remove or obscure any copyright, logo, or watermark found in the App or Reports.

5. Usage Rules

Each subscription is granted for one organization or business unless explicitly stated otherwise. You may not:

• Run multiple businesses under a single license
• Give unauthorized access to external agents
• Publicly expose URLs, dashboards, or modules without security
• Use bots or scripts to auto-feed the system beyond fair usage

We may limit access to excessive users or terminals to maintain system integrity.

6. Usage Limits

Your plan may define limits on:

• Number of warehouses
• Number of SKUs or stock entries
• Users, devices, or locations

We reserve the right to restrict or throttle access in case of repeated overuse or violation of fair usage limits.

7. Data Security

While we implement robust measures including HTTPS encryption, role-based controls, and activity logging, you are responsible for:

• Assigning the correct user roles
• Reviewing access logs
• Avoiding credential leaks

WeGeni shall not be responsible for data loss due to user-side misconfiguration, negligence, or breach caused by unauthorized third-party access.

8. Abuse and Phishing

You are prohibited from:

• Hosting deceptive forms that mimic legitimate interfaces
• Collecting passwords, PINs, or card details without authorization
• Uploading scripts meant for scraping or phishing

We reserve the right to suspend any account engaging in fraudulent activity without notice.

9. Billing and Subscriptions

• A 7-day free trial may be provided. After the trial, continued access requires a valid paid subscription.
• Payments are processed securely via Razorpay, our PCI-DSS-compliant payment partner.
• No refunds will be issued for partial usage, cancellations, or unused periods unless mandated by law.

Payment Processing

We do not store your debit/credit card details on our servers. Transactions are encrypted and securely routed via Razorpay's infrastructure. You agree to Razorpay's terms and privacy policy while using their payment gateway.

10. Custom Modules and Extensions

Geni Inventory may offer:

• Custom modules (e.g., integrations with accounting software, barcode scanners, supplier APIs)
• Reports tailored to your specific business logic
• Workflow automations based on inventory triggers

Such features may incur additional fees and be governed by individual contracts or SLAs.

11. Modification of Terms

We reserve the right to revise or update these Terms at any time. All changes will be published at https://inventory.wegeni.com, and significant updates may also be emailed or displayed via in-app messages.

Continued use of the platform indicates your acceptance of the updated Terms.

12. Suspension and Termination

Your account may be suspended or terminated if:

• You violate any part of these Terms
• Subscription payment fails repeatedly
• Your activity poses risk to security
• Legal authorities demand service discontinuation

Upon suspension or termination, access to your data may be restricted or deleted according to our Privacy Policy.

13. Disclaimer and Limitations of Liability

The Service is provided "as is" and "as available" without any warranty of uninterrupted access or error-free functionality.

We are not liable for:

• Indirect or consequential losses
• Business interruption or data corruption
• Loss of expected revenue due to technical errors

Our maximum liability shall not exceed the amount paid by you in the past 6 months for Services.

14. Governing Law

These Terms shall be governed in accordance with the laws of India. All disputes shall fall under the exclusive jurisdiction of the courts located in Namakkal District, Tamil Nadu.
